Harbor Terms of Service
These terms are an agreement between you and iworkzinc LLC ("iworkzinc", "we", "us") for your use of Harbor, the order and inventory management service at app.iworkzinc.com (the "Service"). By creating an account or using the Service, you agree to these terms. If you use Harbor for a business, you accept them on that business's behalf and confirm you have authority to do so.
1. The Service
Harbor connects to your marketplace seller accounts (currently Amazon and Walmart) and brings their orders and listings into one place. It shares one product and stock record across your stores, and supports batching, picking, packing, printing packing slips, receiving stock and reporting profit. We may add, change or remove features as the Service develops.
2. Your account
- You must be at least 18 and use Harbor for business purposes.
- Give accurate information and keep it up to date.
- Keep your password safe. You are responsible for activity under your account, including activity by team members you add.
- Tell us at privacy@iworkzinc.com if you think your account has been accessed without permission.
3. Connecting your stores
- When you connect a store, you authorize Harbor to access that seller account through the marketplace's official API, within the permissions you grant. For Amazon this is Amazon's authorization page; for Walmart it is the API keys you enter.
- You must have the right to connect each store, and a store can belong to only one Harbor account.
- You remain responsible for complying with each marketplace's own agreements and policies, including the Amazon Services Business Solutions Agreement and Walmart's Marketplace terms.
- Harbor is not affiliated with, endorsed by or sponsored by Amazon or Walmart. Marketplaces can change or limit their APIs at any time, which can affect what Harbor can do.
- You can disconnect a store at any time in Admin › Stores, and you can also remove Harbor's access from the marketplace (for Amazon, in Seller Central under Manage Your Apps).
4. Your data
- You own the data you and your stores bring into Harbor ("Your Data"). You give us permission to store and process Your Data only to provide, secure and improve the Service for you, as described in our Privacy Policy.
- Your Data includes your customers' personal information (such as names and shipping addresses). We process it on your behalf and only to fulfil your orders. You are responsible for having a lawful basis to give it to us.
- We do not sell Your Data, and we do not use it to compete with you.
5. Acceptable use
You agree not to:
- use Harbor for anything unlawful, or in breach of a marketplace's policies;
- access another account's data, or try to get around Harbor's security or rate limits;
- reverse engineer, resell or provide the Service to others without our written permission;
- upload malware or send automated traffic that disrupts the Service.
6. Fees
Harbor is currently free. If we introduce fees, we will tell you at least 30 days in advance, and you can stop using Harbor before they apply.
7. Availability and changes
We work to keep Harbor available and your data safe, but the Service is provided "as is" and "as available". We may suspend it for maintenance, security or reasons outside our control, including marketplace outages. We may update these terms; if a change is material, we will tell you by email or in the app before it takes effect. Continuing to use Harbor after that means you accept the change.
8. Disclaimers and limits of liability
To the extent the law allows:
- We make no warranties beyond those stated in these terms, including any implied warranty of fitness for a particular purpose. Harbor's figures (stock counts, profit, shipping costs) depend on marketplace data and on what you enter; check them before relying on them.
- We are not liable for indirect or consequential losses, such as lost profits, lost sales or marketplace account actions.
- Our total liability for any claim is limited to the greater of the fees you paid us in the 12 months before the claim and US$100.
9. Indemnity
You will defend and hold us harmless against claims arising from Your Data, your use of the Service in breach of these terms, or your dealings with your customers and marketplaces.
10. Ending your use
You can stop using Harbor at any time and ask us to delete your account at privacy@iworkzinc.com. We may suspend or close an account that breaks these terms, puts the Service or other users at risk, or is required to be closed by law. When an account is closed, we delete Your Data as described in the Privacy Policy.
11. Governing law
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be heard in the state or federal courts located in Riverside County, California, unless the law requires otherwise.
